Sportsball franchisees operate Sportball franchised businesses (“Sportball Franchise”) offering non-competitive sports programs for children ranging in age from 16 months to 12 years old, using Sportsball System USA, LLC’s proprietary methods and protocols developed by the company’s founders in recognition of the need to help children develop fundamental movement skills in their formative years.

The total investment necessary to open and begin operating a Sportball Franchise is $34,650 to $54,250. This includes $23,750 to $26,200 that you must pay us or our affiliates for your first Sportball Franchise ($18,850 to $21,600 if you already operate a Sportball Franchise).

 

Sportsball Franchise Agreement & Disclosure Documents

1. THE FRANCHISOR. AND ANY PARENTS. PREDECESSORS AND AFFILIATES

To simplify the language in this Disclosure Document, “Sportball USA,” “we,” “us” or “our”
means Sportball Systems USA, LLC. “You” means the person or entity that has been granted
the right to develop a Sportball franchised business (“Sportball Franchise”) and includes your
owners and co-investors if you are a corporation, partnership or other business entity.

Sportball USA is a Delaware limited liability company established in October 2006 to develop, launch and maintain a Sportball Franchise network in the United States. We conduct business under the names “Sportball” and “Sportball USA.” We do not intend to do business under any other name. Our principal address is 39 Glen Cameron Road, Unit 8, Thornhill, Ontario, Canada L3T 1P1, which is also the site of our own Sportball Corporate Location. We began offering Sportball Franchises in the U.S. in 2007.

Our agents for service of process are disclosed in Exhibit D to this Disclosure Document. Our Parent. Predecessors and Affiliates

Sportball is wholly-owned by Sportball Systems Inc., an Ontario corporation established in 1998 to develop and support the Sportball franchise network in Canada. Sportball Systems Inc. is co-owned by Marcella Sport Inc. and 421354 Ontario Inc., respectively, each an Ontario corporation. Marcella Sport Inc. is co-owned by Carmella Gelgor and Mark Gelgor. 421354
Ontario Ltd is indirectly owned by Jon Mallinick. Marcella Sport Inc. and 421354 Ontario Inc. also co-own (1) Sportball Ltd., an Ontario corporation established in 1995, which operates the company-owned Sportball business in Canada, and (2) 1373627 Ontario Limited, a holding company that is the sole owner of Sportball Inc., a Texas corporation established in 2005. Sportball Inc. operates a company-owned Sportball business in Texas. Marcella Sport Inc. also owns Sportball Canada Inc., an Ontario corporation established 1996. Sportball Canada Inc. owns the Sportball trademarks and proprietary system (“System”) which are licensed to Sportball Systems Inc. which, in turn, licenses the Marks and the System to us for our use and licensing to our franchisees. The principal offices of each of these affiliated companies is 39 Glen Cameron Road, Unit 8, Thornhill, Ontario, Canada L3T 1P1, except Sportball Inc., the principal office of which is located in Austin, Texas.

Sportball was started in 1996 by Sportball Canada Inc. Mark Gelgor developed the coaching methods that serve as the backbone of the System, together with Carmella Gelgor, who has an extensive background in children’s physical education.

None of the companies identified above are our affiliates for purposes of this Item 1 of the Disclosure Document, except that Sportball Systems Inc. offers and sells Sportball Franchises in Canada and each of Sportball Ltd and Sportball Inc. operates company-owned Sportball businesses in Canada and Texas, respectively.

Sportsball Systems USA’s Business Operations

Sportsball offers and grants qualified candidates the right to develop and operate one or more franchised Sportball locations using our “System,” which includes the Sportball Method (including Sportsball’s proprietary protocols and techniques), our business operating systems and our “Marks” (including “Sportball”® and certain other trademarks, service marks, trade names, logos and commercial symbols that we may designate from time to time). Using our System, each Sportball Franchise will offer non-competitive sports programs for children from the ages of 16 months to 12 years old. We license the right to use (and to license others to use the System and the Marks directly from our Canadian affiliate, Sportball Systems Inc.

Our affiliate, Sportball Ltd., currently operates Sportball locations in the Provinces of Ontario, British Columbia and Alberta. Our affiliate Sportball Systems Inc. has awarded Sportball Franchises in Ontario, British Columbia Alberta and Quebec.

We have never before offered franchises in this or any other line of business. We do not operate Sportball Franchises of the type being franchised and have no business activities except the offer and sale of Sportball Franchises as described in this Disclosure Document. None of our affiliates have ever offered franchises in any other line of business.

The Mission of Sportsball Systems USA

Our mission is to promote confidence, self-esteem and teamwork through our non-competitive sports programs and using our proprietary Sportball Method. Our approach is based on the
philosophy that recognizes the importance of children developing fundamental movement skills in the early years and, as part of the Sportball Method, we combine our non-competitive, carefully designed sports programs, customized sports equipment and a positive, encouraging and fun environment to focus on improving gross motor skills, physical strength, fitness, social skills and self-esteem.

The Sportball Franchise

Similar to the programs offered in Canada directly by Sportball Ltd and by franchisees of Sportball Systems Inc., the Sportball Franchise will offer various programs for children ranging in age from 16 months through 12 years. The following is a description of Sportball programming currently offered in Canada.

Sportball programs focus on 8 popular ball sports: Hockey, Soccer, Basketball, Baseball, Volleyball, Tennis, Football and Golf. Children are taught the fundamental skills of each sport and have the opportunity to practice and refine these skills individually and in game situations.

Creative games and activities are also integrated into classes, which allow children to interact with peers while learning skills essential for sport.

Sportball offers Drop-Off programs (ages 3-8) and Parent and Tot programs (ages 16 months-3 years) year round. Programs generally run for 10-13 weeks and are held once a week for an hour. Children are placed in age appropriate classes.

Multi-Sport Programs

Multi-Sport programs focus on skill development in 8 popular sports: Soccer, Hockey,
Baseball, Basketball, Tennis, Volleyball, Football and Golf. Children learn, rehearse, and
refine sports skills in a positive, encouraging, and non-competitive atmosphere.

Multi-Sport Programs are carefully designed to focus on the child’s gross motor development.
Through creative instruction, customized sports equipment, and positive encouragement, we
help children develop balance, strength, coordination, stamina, and timing.

Programs for pre-school and primary school children are held once a week for one hour.
Classes are held Monday to Saturday during the Fall, Winter. Spring and Summer.

Multi-Sport programs are offered for girls only, as well as mixed gender.

Sportball Birthday Parties

Parties generally are 1 hour or 1 1/2 hours in length. Parties consist of sports and fun games
that encourage the full participation of all children. Traditional birthday celebrations follow
after the sports and games. Parties are run by Sportball coaches and generally do not require
a minimum number of children. A maximum limit on the number of guests may be imposed
depending on the location and coaching considerations. Parties may be held at a variety of
locations and outdoor parties are available weather permitting. For children ages 1 -3, parent
assistance and participation will be required. Drop-off parties are available for children 3
and older.

Junior Programs (Age 16 months – 24 months)

This 45-minute program is a perfect introduction to Sportball. Children and parents
participate in sports, creative games, songs, rhymes, stories, and bubble time among other
activities. .Although these programs focus .more on exploration, children, will be introduced ~ta.
a different sport each week (Hockey, Soccer. Tennis, Baseball, Basketball, Volleyball,
Football and Golf). Parents are encouraged to participate with their child and challenge them
according to their skill level.

Parent A Tot Programs (Age 2-3 years)

This program is designed to guide parents and their children through the introductory skills of
7 different ball sports. Parents are instructed on how to correctly assist their children in
learning the skills of Hockey, Soccer, Tennis, Baseball, Basketball, Volleyball, Football and
Golf. Games and skills are taught in a fun and creative manner by using story lines to
encourage participation. All programs are non-competitive and focus on success while building
confidence. Programs are 45 minutes in duration. Grandparents and caregivers are also

welcome to bring children to programs. We recommend that the same adult attend the
program each week.

Me A My Dad Programs (Age 2-4 years)

Similar to Parent and Tot programs, this program provides an opportunity for Dads to spend
quality time with their children.

Camps

Half-Day Camps

Camps generally run for 3 hours in the morning or afternoon for 1 week. Parents can register for multiple weeks (or even for the entire summer). Children participate in the skills and
games of 8 different ball sports. Sports include: soccer, hockey,basketball, baseball, volleyball, tennis, football and golf. Camps also incorporate arts and crafts, music, cooperative games, snack time and theme days. Camps are run outdoors or indoors depending\ on the location and weather.

Full-Day Camps

Full-Day camps combine 3-hour mornings with 3-hours in the afternoon.

Multi-sport Clinics

Clinics are offered during the Winter and March Break Seasons. Each clinic focuses on a particular sport. Children practice and advance skills in soccer, hockey, tennis, basketball,
volleyball, baseball and golf.

Soccer Programs

Sportball soccer programs are non- competitive, skill-based, and provide children with the opportunity to learn how to play soccer with the help of experienced coaches. Programs focus on the fundamental skills of soccer including: throw-ins, kicking, dribbling and goalie skills. Children are taught to apply soccer skills successfully and confidently in soccer games.

Outdoor Soccer Classes

Soccer classes are offered outdoors during the Summer, Spring and Fall months. For safety reasons, parents are required to remain at the field.

Indoor Soccer Classes

Indoor soccer classes are offered throughout the year at some locations.

Rollerbladina (Ages 3-9)

This program teaches children to Rollerblade safely. Children learn the basic skills required to blade, brake and fall without injury. The goal of this program is to build the confidence level of each child in a fun and positive environment. (Safety equipment is mandatory.)

Sportball Fitklds

Sportball Fitkids programs consist of activities that improve agility, stability, flexibility, endurance and core strength. By incorporating fundamental movement skills, this program will improve overall fitness and health. Classes include age-appropriate exercises, fun relays, exciting high energy games and good health tips.

Special Events

Special events are targeted at schools, businesses, community groups and other child orientated organizations. High-energy Sportball coaches attend special events to play sports and games with the children. Special events typically run for 2 – 4 hours.

School-Programs

Sportball provides lunchtime and after-school programs and physical education programs for schools.

Sportsball’s Free Demonstrations

For those who are not familiar with the Sportball program, Sportball conducts free half-hour demonstrations at selected locations.

You will offer Sportball Franchise programs at one or more locations that you own, lease or otherwise have the right to use on a full or part-time basis and that is located in the designated territory. Your Sportball locationfs) must conform to local and state childcare safety regulations, including schools, community centers and retail spaces. You must operate the Sportball Franchise according to our System, including class formats, teaching methods, business procedures, standards and specifications. You will be,required-,ta-maintain an administrative office space with a dedicated telephone/fax line and broadband internet access. We recommend that the administrative office be located at your home.

You will enter into a Franchise Agreement with us that sets out your rights and obligations in the operation of the Sportball Franchise and use of the Marks and System, including our proprietary Sportball Method, training programs and materials, marketing and advertising support and operational guidelines. Each Franchise Agreement will be between you and us and, in most circumstances, each of your owners will guarantee your obligations to us. You will follow the currently proscribed enrollment, scheduling, accounting, banking and business procedures proscribed in the Manual, as amended from time to time.

Sportball Coaches

Sportball coaches are generally young adults (between 18-35 years old). Many coaches are studying or have related degrees in fields such as Kinesiology, Early Childhood Education, Recreational Management, Physical Education and/or related experience working with children.

You will thoroughly screen each member of the Sportball coaching team. Coaches are required to pass Police screening for working with children and also must be First Aid and CPR certified.

All coaches undergo ongoing training in the Sportball Method. Coaches are allocated programs to teach independently only once the strictest of criteria have been met. Coaching techniques and policies are monitored to ensure that children receive the highest quality programming.

Competition

The market for the services offered by a Sportball Franchise is families and other children’s care givers who seek physical education and sports activities for their children. Your most significant competition in the market for children’s physical education and sports activities will be from Gymboree, Little Gym and My Gym. You also will be competing with other activity –
programs directed at young children, including single sport leagues (such as little league baseball and soccer), martial arts programs, educational programs (focused for example on computers, math and science and language programs for children), programs focused on movement and athletics (such as parent-child playgroups, gymnastic programs and dance programs), programs based on performing arts, including drama, music and dance, and all other types of programs and activities directed to the market for children’s activities programs. We encourage you to survey your local market to determine the number of competitors, the numbers and types of programs, facilities, ages of children they service, the fees charged, and the perceived quality and reputation of these competing programs.

Regulatory Matters

You will be subject to various federal, state and local laws pertaining to the operation of a business generally and to businesses offering programs to children (depending upon the
jurisdiction, regulations, governing children’s, educational and-general, enrichment programs, day¬care centers, day camps, fire and building safety and health). If your local jurisdiction requires a teaching certificate in order to offer our programs, you or your staff must have a current teaching certificate. Some localities may have laws requiring background checks for persons working with children (and we require you to arrange for background and criminal checks on your prospective employees to be undertaken at your expense). We strongly urge you to consult with local counsel to determine your obligations under these, and any other, laws.

2. BUSINESS EXPERIENCE

Carmella Selgqr: President and director

Ms. Gelgor has been our President and a Director since our inception in October 2006. She
co-founded Sportball Canada Inc. in 1995 and currently serves as its Vice President and
Director. She also co-founded Sportball Systems Inc. in 1998 and currently serves as its
President and Director. Ms. Gelgor oversees all of our programs, departments and systems,
including sports education, marketing, administration, and curriculum development,

Mark Gelgor: vice President and Operations director

Mr. Gelgor has been Vice President and Operations Director since our inception in October
2006. He co-founded Sportball Canada Inc. in 1995 and currently serves as its President and
Operations Director. He also co-founded Sportball Systems Inc. in 1998 and currently serves
as its Vice-President and Director. Mr. Gelgor oversees staff and franchise training and new
business development.

Jon Mallinick: Secretary. Treasurer and Director of development

Jon Mallinick has served as Secretary, Treasurer and Director of Development since our
inception in October 2006. He has served as Director of Development for Sportball Systems
Inc. since its inception in 1998 and before that with Sportball Canada since 1995.

Kevin Watson: Advisor

Mr. Watson has served as an advisor regarding Franchise Development in the USA since 2009.
Mr. Watson has extensive senior management experience in business operations, franchising
and international business strategies. Mr. Watson has held senior positions in both private and
public companies. Mr. Watson has served as Managing Director of Seachange Holdings Inc
since October 2003. Seachange Holdings Inc provides management consulting services.
